Podravka d.d. resolves to keep abreast of reforms in the area of corporate governance and tends towards the continuous improvement of relations with investors and with its own shareholders by promoting high standards of mutual communication.
By taking into account the OECD corporate governance guidelines, and in conformity with applicable legislation in the Republic of Croatia, Podravka d.d. has adopted a Corporate Governance Code in order to respect in equal measure the rights of all shareholders and establish an open, professional and transparent approach in its relations with the community of investors.
The key principles observed by Podravka d.d. are as follows:
In conformity with the basic purpose of its operations, which is to ensure growth and successful operations, thus creating growth of value for shareholders, the Management Board and the Supervisory Board of Podravka d.d. support compliance with the basic principles of corporate governance.
The Management Board of Podravka Inc., aware of the importance of responsible and ethical behavior of business entities in the Croatian economy, adopted on 21 November 2005 the Code of Ethics in Business - in the wording and content determined by the Assembly of the Croatian Chamber of Commerce.
As a signatory of the said Code, Podravka has undertaken to respect the principles of ethics in all its business relations and has adopted the obligation of acting in accordance with the principles of accountability, truthfulness, efficiency, transparency, quality, good faith, and respect for good business practice in relations with business partners, with the business and social environment, and with its own employees.
In accordance with the recommendation of the said Code, Podravka’s Management Board at its 36th session held on 15 December 2005 determined and passed the Code of Ethics of the Podravka Group.
The purpose of the Code is that Podravka and all its affiliated companies in the country and abroad should develop their own ethical principles in accordance with the principles of modern corporate management.
